Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WorkPerfect platform and website located at work-perfect.com (the "Service"), operated by WorkPerfect ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accepting a workspace invitation, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
WorkPerfect is a vendor management platform designed for enterprise teams. The Service provides tools for managing vendor onboarding, work assignments, timecard tracking, compliance documentation, and performance analytics. Access to the Service requires an account, which may be created through self-registration or via an invitation from a workspace administrator.
3. Accounts and Access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.
Workspace administrators control user access within their organization and are responsible for managing permissions and user roles within their workspace.
4. Acceptable Use
You agree to use the Service only for its intended purpose and in compliance with all applicable laws and regulations. You agree not to:
- Use the Service for any unlawful or fraudulent purpose
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Transmit any malicious code, viruses, or harmful content through the Service
- Use the Service to send unsolicited communications or spam
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Share your account credentials with unauthorized third parties
5. Data and Content
You retain ownership of all data and content that you submit to the Service ("Your Content"). By submitting content to the Service, you grant us a limited, non-exclusive license to use, store, and process Your Content solely for the purpose of providing and improving the Service. We will not use Your Content for any other purpose without your consent.
You are responsible for ensuring that Your Content does not violate any applicable laws or the rights of any third party.
6. Intellectual Property
The Service, including its design, features, code, documentation, and all associated intellectual property, is owned by WorkPerfect and is protected by applicable copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.
7. Email Communications
By using the Service, you consent to receiving transactional emails from us that are necessary for the operation of the Service. These include account verification, password resets, authentication links, workspace invitations, and notifications related to assignments and timecards. These communications are an integral part of the Service and cannot be opted out of while your account is active.
8. Fees and Payment
Certain features of the Service may require payment. Pricing and payment terms will be specified in a separate order form or subscription agreement between you (or your organization) and WorkPerfect. All fees are non-refundable except as expressly stated in your order form or as required by law.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance and will make reasonable efforts to provide advance notice. We are not liable for any downtime, data loss, or service interruptions.
10. Limitation of Liability
To the maximum extent permitted by law, WorkPerfect and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Service, regardless of the theory of liability.
Our total aggregate liability arising out of or related to these Terms or the Service shall not exceed the amounts paid by you to WorkPerfect in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless WorkPerfect and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to access the Service will immediately cease. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.
13. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in North Carolina.
